What Is NY LLCTA
Effective January 1, 2026, the New York LLC Transparency Act requires certain limited liability companies to submit Beneficial Owner Disclosure filings to the New York Department of State.
The purpose of the law is to enhance transparency and accountability for businesses authorized to operate in New York.
This requirement is separate from federal reporting obligations and applies only to specific entities.
Who This Service Is For

Our NY LLCTA filing service is designed for:
Foreign LLCs formed under the laws of a foreign country
Foreign LLCs that are authorized to do business in New York -
These entities must file either:
an Initial Beneficial Owner Disclosure Report, or
an Attestation of Exemption, if eligible - Domestic New York LLCs and LLCs formed in other U.S. states are not required to file under the NY LLCTA.
Filing Deadlines
Filing deadlines are based on when the foreign LLC was authorized to do business in New York:
- Authorized before January 1, 2026: filing due by December 31, 2026
- Authorized on or after January 1, 2026: filing due within 30 days of authorization
Annual filings are required thereafter, including for exempt entities.
